Shift to Audit & Supervisory Committee Corporate Governance

The decision was made at the May 14 meeting of the Board of Directors to move from corporate governance based on an audit & supervisory board to corporate governance based on an audit & supervisory committee upon approval at the 63rd Ordinary General Meeting of Shareholders held on June 27, 2019.

(1) Purpose of Shift
In order to achieve sustainable growth and increase corporate value over the medium to long term, Casio has positioned as priority issues the strengthening of the management supervisory function, as well as speedy decision-making and appropriate business execution. To lay the appropriate groundwork to address these issues, the Company shifted to an audit & supervisory committee corporate governance structure that strengthens the supervisory function of the board of directors and focuses on speeding up and streamlining business execution with appropriate supervision from the board.
By clarifying the missions of its directors and executive officers in this way, Casio strives to strengthen its corporate governance structure and further increase its corporate value.


(2) Date of Shift
The changes in the Articles of Incorporation necessary for the transition were approved at the 63rd Ordinary General Meeting of Shareholders held June 27, 2019, and Casio transitioned to a corporate governance system based on an audit & supervisory committee.
